Simplificarea procedurii SFIA prin noul Ordin MF nr. 1128/2026

 

Publicat în Monitorul Oficial la data de 07 septembrie 2026, Ordinului ministrului finanțelor nr. 1128/2026 abrogă prevederile Ordinului ministrului finanțelor publice nr. 1178/2023 și instituie o nouă procedură pentru emiterea soluției fiscale individuale anticipate („SFIA”).

Noul cadru procedural urmărește simplificarea etapelor pe care trebuie să le parcurgă contribuabilii solicitanți, precum și clarificarea unor aspecte referitoare la criteriile de respingere și efectele soluției fiscale individuale anticipate.

Prevederile noului Ordin se aplică cererilor de emitere a SFIA depuse ulterior intrării sale în vigoare. În cazul cererilor aflate în curs de soluționare la data intrării în vigoare a Ordinului, rămân aplicabile dispozițiile legale în vigoare la momentul depunerii acestora.

Astfel, printre modificările aduse de Ordin se numără:

• Limitarea efectelor SFIA la contribuabilul/plătitorul solicitant, prin eliminarea prevederii potrivit căreia SFIA produce efecte și pentru entitățile enumerate distinct în conținutul soluției;

• Eliminarea noțiunii de “prezumție critică”, care desemna anterior premise / împrejurări/informații relevante, care nu sunt în sfera de control a contribuabilului / plătitorului ori a organului fiscal și care fac SFIA inaplicabilă;

• Introducerea posibilității de publicare a SFIA în formă anonimizată, cu acordul scris al contribuabilului/plătitorului pentru care aceasta a fost emisă, fără ca soluția astfel publicată să fie aplicabilă altor contribuabili/plătitori sau opozabilă organului fiscal în raport cu aceștia, chiar dacă există circumstanțe similare;

• Eliminarea cerinței privind depunerea cererii cu cel puțin 90 de zile anterior datei la care contribuabilul/plătitorul intenționează să efectueze tranzacțiile propuse, fiind permisă depunerea cererii atât anterior, cât și pe parcursul implementării tranzacțiilor propuse, cu condiția ca situația de fapt prezentată să nu fi produs efecte fiscale la data depunerii cererii;

• Diversificarea modalităților de transmitere a cererii și a documentației aferente, prin permiterea transmiterii în format letric sau prin e-mail, la registratura Ministerului Finanțelor, prin poștă ori prin SPV;

• Introducerea unei obligații din partea solicitantului unei SFIA, de a informa organul fiscal, în termen de 15 zile, dacă intervin modificări privind datele / informațiile / circumstanțele care stau la baza cererii de emitere a SFIA ori dacă s-a început o procedură de administrare fiscală, ori o procedură administrativă sau chiar judiciară, în privința tranzacțiilor ori persoanelor implicate în SFIA solicitată;

• Introducerea unui termen de 30 de zile de la data depunerii cererii pentru efectuarea analizei prealabile, în cadrul căruia organul fiscal central competent are obligația de a transmite contribuabilului/plătitorului o notificare cu privire la rezultatul acesteia;

• Clarificarea și comprimarea motivelor de respingere a cererii, comparativ cu reglementarea anterioară; specific, furnizarea de informații nerelevante de către solicitant, motiv de respingere în sistemul procedurii anterioare, a fost înlocuită cu furnizarea în mod repetat a unor informații incomplete ori contradictorii, de natură să împiedice analiza organului fiscal competent;

• Introducerea unui termen de 15 zile de la data depunerii cererii pentru achitarea taxei aferente emiterii SFIA.

Simplification of the SFIA Procedure under the new Order of the Ministry of Finance No. 1128/2026

 

Published in the Official Gazette on September 7, 2026, Order of the Minister of Finance No. 1128/2026 repeals the provisions of Order of the Minister of Finance No. 1178/2023 and establishes a new procedure for issuing advance individual tax rulings („SFIA”).

The new procedural framework aims to simplify the steps that taxpayers must take when filing a request, as well as to clarify certain aspects regarding the dismissal criteria and the effects of the anticipated individual tax ruling.

The provisions of the new Order apply to applications for the issuance of SFIA filed after its entry into force. For applications pending as of the date the Order enters into force, the legal provisions in effect at the time of their submission remain applicable.

Thus, the amendments introduced by the Order include:

• Limiting the effects of the SFIA to the requesting taxpayer/payer by eliminating the provision stating that the SFIA shall also apply to the entities specifically listed in the decision;

• Elimination of the concept of “critical presumption”, which previously referred to relevant premises, circumstances, or information that are beyond the control of the taxpayer or the tax authority and that render the SFIA inapplicable;

• Introducing the option to publish the SFIA in anonymized form, with the written consent of the taxpayer/payer for whom it was issued, without the published decision being applicable to other taxpayers/payers or enforceable against the tax authority with respect to them, even if similar circumstances apply;

• Elimination of the requirement to file the application at least 90 days prior to the date on which the taxpayer/payer intends to carry out the proposed transactions; applications may now be filed both prior to and during the implementation of the proposed transactions, provided that the factual situation described has not produced any tax consequences as of the date of filing;

• Diversification of the methods for submitting the application and related documentation, by allowing submission in hard copy or via email to the Ministry of Finance’s registry office, by mail, or through SPV;

• Introducing a requirement for applicants for an SFIA to notify the tax authority, within 15 days, if there are any changes to the data / information / circumstances underlying the application for the SFIA, or if a tax assessment procedure, an administrative procedure, or even a judicial proceeding has been initiated regarding the transactions or persons involved in the requested SFIA;

• Introducing a 30-day deadline from the date of submission of the request for a preliminary review, within which the competent central tax authority is required to send the taxpayer/payer a notice regarding the outcome of the review;

• Clarification and shortening of the grounds for rejecting a request, compared to the previous regulation; specifically, the provision of irrelevant information by the applicant, which was grounds for rejection under the previous procedure, has been replaced by the repeated provision of incomplete or contradictory information that is likely to hinder the analysis by the competent tax authority;

• Introducing a 15-day period from the date of filing the request for payment of the fee associated with the issuance of the SFIA.
